Organisation Terms of Service
These terms govern your organisation's use of the Schedly platform. "Schedly", "we" or "us" means Schedly PORTAL, a business registered in the United Arab Emirates. "You", "your" or the "Organisation" means the academy, club or activity provider that registers for an account. By creating an account or using the platform, you agree to these terms on behalf of your organisation.
1. What Schedly is
Schedly is a software-as-a-service platform that helps activity providers take enrolments, manage schedules and attendance, issue VAT invoices, communicate with families and collect payments. Schedly is software only. We do not provide, supervise, deliver or take responsibility for any class, coaching, camp, event or other activity you offer. You are solely the provider of those services to your customers.
2. Your account
You must give accurate registration details and keep them up to date. You are responsible for your account, your users (owners, admins, coaches) and everything done under your account. You must have the authority to bind your organisation to these terms. Access to the platform may require approval and is granted on a trial or paid basis (see the Subscription Agreement).
3. Your responsibilities
- You are responsible for the lawful, safe and proper delivery of your activities, including safeguarding, supervision, qualifications, insurance and licensing.
- You are responsible for the accuracy of your content: prices, VAT treatment, your Tax Registration Number (TRN), invoices, timetables and communications.
- You are responsible for your relationship with your customers, including admissions, cancellations, refunds, credits, complaints and disputes.
- You must comply with all applicable UAE laws, including tax, consumer protection, child-safety and data-protection laws.
4. Your customers' data
The personal data you and your customers enter (guardians, children, contact details, medical notes, attendance, payments) belongs to and is controlled by you. In respect of that data you are the data controller and Schedly acts as your data processor, processing it on your instructions to provide the platform. You must have a lawful basis to collect and share that data and must give your customers appropriate privacy information. You must comply with UAE Federal Decree-Law No. 45 of 2021 (Personal Data Protection Law) and any other applicable data-protection law.
5. Payments and fees
Subscription fees, the platform commission on customer payments, any setup fee and billing terms are set out in the Subscription Agreement, which forms part of these terms for paid accounts. Where you take online payments from customers, funds are processed by your chosen payment provider (for example your own Stripe account) and are settled to you, not to Schedly. Schedly does not hold customer funds and is not responsible for refunds, chargebacks or payment disputes between you and your customers or your payment provider.
6. Acceptable use
You must not misuse the platform, including: uploading unlawful, harmful or infringing content; attempting to breach security or access other organisations' data; reselling the platform; overloading or reverse-engineering it; or using it to send unlawful communications. You must keep customer data secure and only use it for legitimate purposes connected to your activities.
7. Intellectual property
Schedly and all rights in the platform, its software, design and brand (including the "Schedly" name and marks) remain ours. We grant you a non-exclusive, non-transferable right to use the platform for your organisation during your subscription. You keep ownership of the data and content you upload, and grant us the right to host and process it to provide and improve the service.
8. Availability and support
We aim to keep the platform available and to support you in good faith, but the platform is provided on an "as available" basis. We do not guarantee uninterrupted or error-free operation and may carry out maintenance, updates and changes. We are not liable for downtime, data loss caused by factors outside our control, or third-party services (such as payment providers or messaging services).
9. Disclaimers
To the maximum extent permitted by law, the platform is provided "as is" without warranties of any kind, whether express or implied, including fitness for a particular purpose. We do not warrant that the platform will meet your requirements or that results (including invoices, tax calculations or reports) are error-free; you remain responsible for reviewing them.
10. Limitation of liability
To the maximum extent permitted by law, Schedly is not liable for indirect, incidental or consequential loss, loss of profit, revenue, goodwill or data. Our total aggregate liability arising out of or in connection with the platform in any 12-month period is limited to the total subscription fees you paid to us in that period. Nothing in these terms limits liability that cannot be limited by law.
11. Indemnity
You will indemnify Schedly against claims, losses and costs arising from your activities, your content, your breach of these terms or your breach of law, including any claim by your customers or a regulator relating to the services you provide or the data you control.
12. Confidentiality
Each party will keep the other's non-public information confidential and use it only to perform under these terms.
13. Suspension and termination
We may suspend or terminate your access for non-payment, breach of these terms, or risk to the platform or other users. You may stop using the platform at any time (subject to the Subscription Agreement). On termination your right to use the platform ends; you may export your data for a reasonable period, after which we may delete it in the ordinary course.
14. Changes
We may update these terms from time to time. We will post the updated version with a new date and, for material changes, give reasonable notice. Continuing to use the platform after changes take effect means you accept them.
15. Governing law
These terms are governed by the laws of the United Arab Emirates as applied in the Emirate of Dubai, and the parties submit to the jurisdiction of the Dubai courts, without prejudice to any applicable free-zone jurisdiction that may apply to Schedly.
